Capital Amendment – General and Limited Partnerships

This service allows a general partnership or a limited partnership to make the required amendment and have it recorded in the company’s contract and statement in its file at CCD, once the legal requirements are met and the necessary approvals are obtained. It covers: increasing or reducing the company’s capital; paying up the company’s capital; the withdrawal, nomination or election of the company’s auditor; and filing the financial statements where the company’s capital exceeds JOD 100,000.

Who can use this service

General partnerships and limited partnerships.

Prepare the following information and documents before submitting the certificate or extract request through the official service channel.

Requirements

  1. The application and required documents are submitted through CCD’s electronic services.
  2. All general partners in the company approve the required amendment.
  3. The provisions of the Investment Environment Regulation on restrictions on ownership ratios and activities are observed.
  4. Where the amendment requires the approval of official authorities, CCD corresponds electronically, unless the amendment requires prior approval to be submitted with the application.
  5. A certified auditor is appointed for the company where its capital exceeds JOD 100,000.
  6. There must be no attachments, mortgages or other restrictions on the interests where the company’s capital is being reduced.

Documents and supporting information

  1. The amendment application, using Form 10.
  2. A special power of attorney for the lawyer on which the production fee has been paid, where the document is signed before a lawyer, together with a copy of the lawyer’s Bar Association ID card.
  3. A disclosure of the paying up of the company’s capital, where its capital is less than JOD 100,000, using Form 11.
  4. Where a partner is a minor who has not reached the age of majority, their natural or legal guardian signs on their behalf, and the guardianship deed or decision issued by the competent authority is attached, stamped and dated within the last 30 days.
  5. Where a partner is under legal interdiction by court decision, their legal guardian signs on their behalf, and the guardianship deed or decision issued by the competent authority is attached, stamped and dated within the last 30 days.
  6. Where a partner is represented under a general or special power of attorney, a copy of that power of attorney.
  7. The prior approvals request (general partnership / limited partnership), using Form ( ).
  8. Where it is resolved to increase the company’s capital for all partners in the same proportion as their interests, the application is approved electronically, the contract is signed by all partners, and a letter of undertaking is attached, using Form 12.
  9. A letter from the auditor, or a bank deposit slip, showing that the company’s capital has been paid up, where its capital is JOD 100,000 or more.
  10. A letter from the auditor referring to the capital increase, where the company’s capital is JOD 100,000 or more.

Submit the amendment application

E-Services Portal

The applicant logs in to Existing Company Services, selects Filings and Legal Amendments, and uploads the required documents.

Review the amendment application and obtain the necessary approvals

CCD reviews the application and the attached documents, verifies that the proposed amendment complies with the applicable requirements, and completes the procedures for the necessary approvals, as the case may be.

Pay the fees due on the amendment

Once the application is accepted and the procedures are complete, the applicant pays the fees through the electronic payment system.

Record the amendment and update the company’s data

CCD records the amendment and updates the company’s data in its Company Information Record and file. The company can then obtain an updated Company Information Record reflecting the amendment.

Service fees

  • Filing documents: JOD 10 per document
  • Filing the amended company contract and statement: JOD 20
  • Changes fee: JOD 20
  • Changes publication fee: JOD 10
  • Announcement fee: JOD 10
  • Stamp duty on a capital increase: 0.003
  • Capital increase fee: JOD 25

Processing time

One working hour, once all documents and approvals are complete and the fees are paid.

  • Filing the amendment application and the required documents.
  • Obtaining the necessary approvals, where required.
  • Paying the fees due.
  • Recording the amendment and updating the company’s record.

The amendment is recorded in the company’s record and file at CCD, and an updated Company Information Record reflecting the amendment can be issued.

Additional Note

1- A general or special power of attorney drawn up outside the Kingdom must expressly state the legal powers required for the purpose, and must be duly certified and dated within the last 30 days, either by endorsement of a notary public in Jordan or in the country of issue.
2- The amendment may require additional approvals from the competent authorities, depending on the nature of the amendment, the company’s objectives, or its licensed activity. CCD corresponds electronically with the authorities concerned to obtain them, unless the amendment requires prior approval to be submitted with the application.
3- Any document drawn up or signed outside the Hashemite Kingdom of Jordan must be certified by the legal authorities in that country, by the representative of the Hashemite Kingdom of Jordan in that country, if any, and by the competent Jordanian authorities, as if it had been drawn up within the Kingdom.
4- The letter of undertaking, signed by the partners, confirms their approval of the required amendment (to be specified) and that the signatures on the amendment application are valid and belong to them.
5- An amendment takes effect in CCD’s records only once the required documents are complete, the fees are paid, and the amendment has been recorded by CCD.
