Register a Non-Operating Foreign Company Branch

This service enables a foreign legal person to establish a non-operating foreign company branch.

Who can use this service

A foreign legal person wishing to establish a non-operating foreign company branch in the Hashemite Kingdom of Jordan.

Prepare the following information and documents before submitting the certificate or extract request through the official service channel.

Requirements

  • All attached documents must be duly certified for a period not exceeding six months from the date the application is submitted.

Documents and supporting information

  • The memorandum and articles of association of the company at its head office, stating its type, capital and objectives.
  • The company’s registration certificate at its head office.
  • A notarized power of attorney authorizing a person resident in the Kingdom to register the company, conduct its business and receive notifications on its behalf. The decision issued by the authorized general manager of the company at its head office is accepted where that person is the sole partner in the company.
  • The financial statements for the company’s last two financial years at its head office, certified by a certified auditor, having regard to the Principles for Exempting Non-Operating Foreign Companies from Submitting Financial Statements.

Create an electronic account

  • The applicant enters their personal information.

Select the type of company to be registered

The applicant selects the company type “non-operating foreign branch”.

Enter the company’s information

The applicant enters:

  • The company’s name in Arabic and English.
  • The company’s nationality and the number and date of its registration in its home country.
  • The company’s address in its home country in Arabic and English.
  • Other details: telephone, mobile and email.

Enter the company’s objectives

The applicant enters the company’s objectives in its home country in Arabic and English.

Enter the company’s capital information

The applicant enters the company’s capital in its home country and specifies the currency of the capital.

Enter the information of the company’s representative in Jordan

The applicant enters:

  • The representative’s capacity.
  • Nationality.
  • National number, or passport number for non-Jordanians.
  • Address.
  • The details of the attorney under a notarized power of attorney, if any, attaching proof of identity for the attorney and a copy of the power of attorney.
  • A copy of the civil status ID card for Jordanians, or a valid passport for non-Jordanians.

The applicant then saves the representative’s information.

Enter the information of the delegate authorized to use the electronic account

The applicant enters the information of the delegate authorized to use the electronic account by entering their national number, email address and telephone number, and uploading proof of identity.

Save the application

  • The applicant selects the partners’ signature method (handwritten signature), accepts the undertaking and declaration, and then sends the application to be reviewed in the proper manner.
  • Once the review of the application is complete, the applicant receives a message asking them to disclose the beneficial owner. The application then becomes complete and awaits attendance for signature.

What you receive

After approval, you receive confirmation that the company information has been updated in the official company record.

Additional Note

- Care must be taken to enter the company’s information — its name, nationality and capital — as set out in its certificate and its memorandum of association.
- All documents must be translated by a notary and duly certified in accordance with the law, for a period not exceeding six months.
