Overview of the Department

The Companies Control Department is the government authority responsible for registering companies, regulating their operations, and monitoring their compliance with the provisions of Companies Law No. (22) of 1997 and its amendments. This contributes to providing a safe, transparent, and stable business environment, enhancing investor confidence, and supporting the growth of the private sector.

The Department provides a comprehensive range of services related to the establishment and registration of companies, processing amendments made to their records, documenting their transactions, and providing information and data relating to them. It also carries out its supervisory and regulatory responsibilities in accordance with the applicable legislation.

The Department works to improve its services and enhance its institutional efficiency through digital transformation, streamlining procedures, developing legislative and regulatory frameworks, and strengthening partnerships with relevant entities. These efforts aim to keep pace with the requirements of the modern business environment, promote investment, and support sustainable economic development.

First: Registration Services

The Department is responsible for registering the types of companies stipulated in the Companies Law, including:

  • General Partnership.
  • Limited Partnership.
  • Limited Liability Company (LLC).
  • Partnership Limited by Shares.
  • Public Shareholding Company.
  • Private Shareholding Company.
  • Civil Companies.
  • Non-Profit Companies.
  • Arab Joint Companies.
  • Foreign Companies operating and non-operating in Jordan, including regional headquarters companies and representative offices.
  • Companies established pursuant to agreements concluded by the government with other countries.
  • Joint Investment Companies established in the form of a Public Shareholding Company.
  • Exempt Companies established in any of the legal forms stipulated in the law.
  • Holding Companies established in the form of a Public Shareholding Company.

Company registration procedures are completed electronically through the digital services provided by the Department.

Financial Statements and Capital Documents

Second: Post-Registration Services

The Department provides a range of services and procedures relating to companies following their registration, including:

  • Processing and documenting amendments to companies’ articles of incorporation and bylaws in accordance with applicable legislation.
  • Documenting share transfer agreements and the transfer of share ownership through inheritance.
  • Issuing certificates and official letters based on the documents and information filed with the Department.
  • Certifying certificates and documents issued by or deposited with the Department in accordance with established procedures.
  • Responding to inquiries regarding company registration procedures, amendments, mergers, changes in legal status, ownership, and liquidation.
  • Forming specialized committees for auditing, investigation, changes in legal status, mergers, and other matters in accordance with applicable legislation.
  • Reviewing and monitoring the status of distressed companies and taking appropriate measures in coordination with relevant authorities.
  • Preparing and publishing data and statistics relating to registered companies and their capital.
  • Providing information and data relating to companies to official and judicial authorities in accordance with applicable legislation.

Third: Supervisory and Regulatory Services

The Department carries out its supervisory and regulatory functions to enhance companies’ compliance with applicable legislation. Its key responsibilities include:

  • Reviewing procedures and transactions to ensure compliance with the provisions of the Companies Law and related legislation.
  • Forming specialized committees to verify companies’ compliance with the provisions of the law.
  • Examining and addressing legal issues faced by companies within the scope of the Department’s authority.
  • Analyzing companies’ financial statements in accordance with approved accounting standards.
  • Taking the necessary measures to rectify the status of non-compliant companies before referring them to the competent judicial authorities, in accordance with applicable legislation.
  • Directing companies to rectify legal and financial violations and address instances of non-compliance.
  • Supervising general assembly meetings of public shareholding companies in accordance with the law.
  • Establishing investigation and audit committees when necessary and within the limits of the Department’s legal authority.
  • Conducting on-site inspections of the offices of non-operating foreign companies and exempt companies in accordance with applicable legislation.
  • Placing restrictions on the disposal of shares or registering restrictions against companies upon receipt of seizure or mortgage notices from the competent authorities.
  • Maintaining, archiving, and managing company documents and files in accordance with approved systems and procedures.
