Register a Limited Liability Company

This service enables a natural or legal person to establish a limited liability company.

Who can use this service

A natural or legal person wishing to establish a limited liability company.

Prepare the following information and documents before submitting the certificate or extract request through the official service channel.

Requirements

  • The company’s name must not contravene the provisions of the law or already be in use by another company or establishment.
  • The company’s objectives, capital, head office, incorporation expenses, authorized signatory and their powers, and auditor must be specified.
  • The partners and their interests in the company’s capital must be specified.
  • Prior approvals for the economic activities must be obtained from the authorities concerned.
  • The requirements for ownership or participation by non-Jordanians in restricted economic activities must be met.
  • In some cases, ownership or participation by a person holding a particular nationality requires prior approval from the authorities concerned.
  • Where one of the partners is a Jordanian legal person, that company’s status must be active, its capital paid up, and its financial statements filed.
  • The fees prescribed by law must be paid.

Documents and supporting information

  • Identity documents for the partners — a civil status ID card for Jordanians, a passport for non-Jordanians, a Gaza Strip residents’ card, or an identification card for the children of Jordanian women — all of which must be valid.
  • A legal power of attorney, where the application is submitted through a legal representative.
  • A family book, where the application is submitted by the guardian of a minor.
  • A guardianship deed stamped and dated within the last 30 days, or a guardianship decision from the Ecclesiastical Court stamped and dated within the last 30 days, where the application is submitted by the legal guardian.
  • For a foreign legal person partner: a registration certificate showing the names of the authorized signatories, the memorandum and articles of association, and the financial statements for the last two years — or the financial position where the company was registered less than a year ago — together with a document giving the names of the founders and partners in the home country.
  • For a Jordanian legal person partner: a valid professions licence and a social security statement issued by the Social Security Corporation.

Steps to complete

Review the steps below to understand where each part of the certificate or extract request process is completed.

Application to establish a limited liability company

The applicant logs in to the Companies Control Department website and selects Electronic Services / Register a New Company.

Create an electronic account

  • The applicant enters a valid email address and a password.
  • The applicant enters their personal information.

Select the type of company to be registered

The applicant selects the company type “limited liability company”, then New Application, and specifies the form of the company: ordinary, joint Arab, exempt, non-profit, civil, or free zone.

Enter the company’s information

The applicant enters:

  • The method of managing the company — a general manager or a board of managers.
  • The company’s duration — unlimited or limited. Where limited is selected, the duration in years is entered.
  • The company’s head office and the company’s right to open branches inside and outside the Kingdom.
  • The term of the company’s management, up to a maximum of four years.
  • The company’s address, if any: city, governorate, street or district, building number, floor, office number, other details, PO box, postal code, email, telephone, fax, mobile 1 and mobile 2.

Enter the company’s objectives

The applicant enters the company’s objectives. They may search for the objective required by entering its code, its name or any part of the name in the appropriate field — for example trade, manufacture, import — and then select Add.

Enter the company’s capital information

The applicant enters:

  • The registered capital, with a minimum of one dinar.
  • The value of a single interest (one dinar).
  • The number of cash interests, calculated electronically to equal the company’s capital.
  • The method of distributing profits.
  • The procedure in the event of death.

Enter the information of the partners and the authorized signatories

The applicant enters:

  • Partner type: natural person, legal person, company, or free zone.
  • Nationality.
  • National number.
  • Number of cash interests.
  • Mobile number, PO box, postal code, email and address.
  • The details of the attorney under a notarized power of attorney, if any, attaching proof of identity for the attorney and a copy of the power of attorney.
  • A copy of the civil status ID card.

The applicant then saves the partner’s information, and further partners may be added by the same steps.

The applicant specifies the contract and articles information by ticking the information available.

The applicant may upload the attachments as the case requires.

Enter the particulars of the company’s incorporation minutes

  • The applicant enters the information of the company’s management by first specifying the partner type (natural or legal person) and entering the national number where Jordanian. Where the member of the management is not Jordanian, the serial number granted to them on entry to Jordan, or their passport number, must be entered.
  • The applicant specifies the member’s capacity: general manager, chairman of the board of managers, chair of the session, or clerk of the session.
  • The applicant may add members of the board of managers according to the form of management selected.

Select the auditor and the authorized signatory or signatories for the company

The applicant enters the auditor’s information:

  • The date on which the general assembly elected the auditor.
  • The auditor’s capacity (natural person or legal person / audit firm).
  • The licence number.

The applicant specifies the incorporation expenses and the authorized signatory for the company and their powers.

The applicant enters the information of the delegate authorized to use the electronic account by entering their national number and uploading proof of identity.

Select proposed names for the company

The applicant proposes five names for the company. The name must be a meaningful one carrying a sense and meaning in the Arabic dictionary and drawn from the company’s objectives, not from the names of its partners.

The applicant then selects the partners’ signature method and accepts the terms of the undertaking and declaration.

Three options are shown to the applicant: save temporarily, save and send, or undo.

Save the data

  • The applicant saves the data entered and sends it electronically so that the application can be reviewed. Any comments are sent back for correction or completion of the application, and a message is sent stating the status of the application as the case may be.
  • Once the review of the application is complete, the applicant receives a message asking them to complete the beneficial ownership declaration. The application then becomes complete and awaits attendance for signature.

Fees and processing time

Service fees

Company registration

  • Stamp duty: three per thousand of the value of the company’s capital
  • Registration fee: two per thousand of the value of the company’s capital, subject to a minimum registration fee of JOD 250
  • Publication fee: JOD 15
  • Price of the memorandum and articles of association: JOD 10
  • Fee for filing the memorandum and articles of association: JOD 10
  • Fee for filing the minutes of a general assembly meeting: JOD 10
  • Fee for filing the minutes of a board of managers meeting: JOD 10
  • Filing fee: JOD 10 for each document added
  • Stamp duty on the notarized power of attorney: JOD 5 for a general power of attorney and JOD 2 for a special power of attorney
  • Fee for registering a foreign name, if any: JOD 500

Processing time

Sixty minutes within one working day, once the application status has become complete and awaiting attendance for signature.

Additional fees, if applicable

Company registration certificate

  • Once registration is complete and the company has been issued a national number, a fee of JOD 10 is charged to issue the company registration certificate. A further JOD 5 is charged to issue a certified copy of the memorandum and articles of association.

What you receive

The company registration certificate (the company information certificate) and a copy of the memorandum and articles of association.

Additional Note

- The Principles for Company Names and Titles must be observed when proposing names for the company.
- Clear copies of the supporting identity documents must be uploaded.
